This Shipping Partner Agreement (the "Agreement") is between Zebu Go LLC, a Georgia limited liability company ("Zebu Go"), and the business or individual applying for or maintaining a shipping-provider account (the "Provider"). The person accepting this Agreement represents that the person has authority to bind the Provider. This Agreement becomes effective when accepted electronically or when the Provider first uses provider functionality, whichever occurs first.
Definitions
"Customer" means a person using the Platform to search for, request, create, track, or pay for a shipment. "Recipient" means the intended recipient of a shipment. "Platform" means Zebu Go's websites, portals, applications, communications, and related technology services. "Provider Services" means pickup, acceptance, inspection, packing, consolidation, storage, transportation, customs-related coordination, delivery, and other services independently offered or performed by the Provider. "Shipment" means goods submitted or proposed for transportation through a transaction facilitated by the Platform.
Zebu Go's Marketplace Role
Zebu Go provides a technology marketplace through which independent shipping providers may publish routes and customers may discover, communicate with, and transact with them. Unless Zebu Go expressly agrees otherwise in a signed writing, Zebu Go does not receive, inspect, pack, store, possess, consolidate, transport, clear through customs, or deliver Shipments and does not take title to them.
Zebu Go is not the Provider's carrier, motor carrier, ocean freight forwarder, non-vessel-operating common carrier, indirect air carrier, customs broker, exporter, importer, warehouse operator, employee, partner, joint venturer, or agent. The Provider must not state or imply otherwise. Verification by Zebu Go means only that selected information submitted by the Provider was reviewed; it is not a guarantee, certification, endorsement, background check, or warranty concerning the Provider, its personnel, compliance, safety, solvency, or services.
The Provider independently decides which routes to publish and whether to accept a Shipment. The Provider contracts directly with the Customer for Provider Services and is solely responsible for performing them. Nothing in this Agreement prevents a regulator or court from applying a non-waivable legal classification based on actual conduct.
Eligibility, Authority, and Verification
The Provider represents, warrants, and agrees that it is lawfully organized and authorized to conduct its business; the person accepting this Agreement may bind it; and all information and documents supplied to Zebu Go are accurate, complete, authentic, current, and not misleading.
- Provide requested business-registration records, government identification, proof of address, licenses, permits, insurance certificates, authorization letters, ownership information, and other reasonably necessary verification materials.
- Maintain every registration, operating authority, tariff, bond, permit, security program, customs authorization, and insurance policy required for the Provider Services, routes, cargo, vehicles, vessels, aircraft arrangements, facilities, and jurisdictions involved.
- Notify Zebu Go promptly of any expiration, suspension, revocation, investigation, enforcement action, ownership change, material complaint, insurance lapse, or other event affecting eligibility or safe and lawful performance.
- Permit Zebu Go to verify submitted information using public databases, issuing authorities, service providers, and other lawful sources.
- Provide additional or updated information when reasonably requested. Zebu Go may decline, limit, suspend, or revoke Platform access when information is missing, inconsistent, expired, unverifiable, or raises compliance or safety concerns.
Independent Business
The Provider is an independent business and controls the manner, means, personnel, equipment, schedules, pricing, and operational decisions used to perform Provider Services, subject to applicable law and the accurate information published through the Platform. The Provider is responsible for its employees, agents, drivers, facilities, subcontractors, taxes, payroll, benefits, expenses, insurance, licenses, and equipment. No person engaged by the Provider is entitled to compensation or benefits from Zebu Go.
Provider Operational Responsibilities
The Provider is solely responsible for each Shipment it accepts and for all Provider Services. Without limiting that responsibility, the Provider must:
- Confirm that each listed route, date, price, capacity, pickup location, delivery location, contact method, restriction, and service description is accurate and kept current.
- Determine whether the Provider is legally and operationally qualified to accept a Shipment before taking custody or payment.
- Use trained personnel, suitable facilities and equipment, secure custody controls, and commercially reasonable safety and loss-prevention practices.
- Inspect or screen Shipments to the extent permitted or required by law and by the Provider's operating authorities, carrier arrangements, and security programs.
- Obtain and preserve accurate sender, recipient, contents, value, origin, destination, ownership, authorization, customs, export-control, and dangerous-goods information as applicable.
- Issue receipts or shipment records where required; maintain chain of custody; update tracking accurately and promptly; and protect pickup codes and recipient information.
- Comply with packaging, labeling, documentation, screening, storage, segregation, handling, security, customs, aviation, maritime, motor-carrier, dangerous-goods, sanctions, export-control, consumer-protection, privacy, and destination-country requirements.
- Refuse, isolate, return, surrender, or report a Shipment when required by law or reasonably necessary for safety or compliance.
- Respond promptly and professionally to Customers, Recipients, Zebu Go, regulators, law enforcement, insurers, and claims administrators.
Customer Information and Declarations
Customer descriptions and declarations assist the Provider but do not replace the Provider's independent legal and operational duties. The Provider may require identification, inspection, documentation, permits, packaging changes, or additional declarations before acceptance. The Provider must not accept a Shipment when required information is missing, inconsistent, suspicious, or appears unlawful.
The Provider may establish lawful carrier-specific conditions and liability terms for Customers, provided they are disclosed before acceptance, do not conflict with this Agreement or Platform representations, and comply with applicable law. Zebu Go is not a party to undisclosed side agreements.
Prohibited and Restricted Shipments
The Provider must not knowingly accept, possess, consolidate, transport, store, deliver, or facilitate any item, person, payment, or transaction that is unlawful, prohibited by an applicable carrier or authority, outside the Provider's authority, or inconsistent with Platform rules. The following are prohibited unless Zebu Go expressly permits the category and the Provider independently confirms that every legal, licensing, packaging, labeling, screening, and carrier requirement is satisfied:
- Illegal drugs, controlled substances, drug paraphernalia, or chemicals intended for unlawful manufacture.
- Firearms, ammunition, explosives, explosive components, fireworks, military weapons, or other weapons prohibited by applicable law or carrier rules.
- Undeclared or improperly prepared hazardous materials, dangerous goods, toxic, corrosive, infectious, radioactive, flammable, pressurized, or environmentally regulated substances.
- Stolen property, counterfeit goods, unlawfully copied goods, fraudulent documents, or property that infringes intellectual-property or other rights.
- Cash, bearer instruments, money orders, negotiable instruments, precious metals or stones, or other high-value instruments not expressly supported by the Provider's lawful service and insurance.
- Human remains, bodily material, live animals, wildlife, plants, seeds, food, perishables, agricultural products, medicines, medical devices, alcohol, tobacco, or vaping products when prohibited, restricted, undeclared, unlicensed, or improperly packaged.
- Goods originating from, destined for, owned by, controlled by, or benefiting a sanctioned or restricted person, entity, territory, vessel, or transaction, except as expressly authorized by applicable law.
- Export-controlled goods, software, technology, cultural property, antiquities, protected-species products, or strategic commodities lacking required authorization.
- Pornographic or exploitative material, trafficking-related items, goods connected to forced labor, or any item whose possession, import, export, sale, or transport is unlawful.
- Any item concealed, materially misdescribed, undervalued, improperly documented, or shipped using false sender, recipient, origin, destination, ownership, or payment information.
- Any item that presents an unreasonable risk to people, property, transportation systems, other cargo, or Zebu Go's reputation or operations.
This list is illustrative and not exhaustive. A Shipment may be prohibited even if not listed. The Provider must apply the strictest applicable law, regulator, carrier, facility, and route requirement.
Suspicious or Illegal Activity
The Provider must maintain risk-based procedures to identify and resolve warning signs, including inconsistent identities or addresses, implausible routes, refusal to provide contents or end-use information, unusual payment behavior, requests to conceal parties or value, tampered packaging, sanctions matches, and goods inconsistent with the stated business or destination.
If the Provider knows or reasonably suspects that a Shipment or transaction is illegal, prohibited, unsafe, fraudulent, sanctioned, or materially misdeclared, the Provider must not proceed. It must take lawful protective steps, preserve relevant records, notify Zebu Go promptly where legally permitted, and report or surrender goods to competent authorities when legally required. The Provider must not alert a person when doing so would violate law or compromise an investigation.
Zebu Go may block a transaction, restrict access, preserve records, request information, cooperate with authorities, or make a report when it reasonably suspects unlawful, unsafe, fraudulent, or prohibited conduct. No contractual allocation of responsibility prevents Zebu Go from fulfilling its own non-waivable legal duties.
Customs, Sanctions, and Export Controls
The Provider is solely responsible for determining the exporter, importer, principal parties, customs declarant, and filing responsibilities applicable to each Shipment; obtaining necessary powers of attorney and authorizations; making accurate declarations; classifying goods; determining value and origin; screening relevant parties and destinations; and obtaining licenses or exemptions. The Provider must not use Zebu Go as the exporter, importer, customs broker, freight forwarder, carrier, or filing party unless Zebu Go expressly accepts that role in a separate signed writing.
Subcontractors and Downstream Carriers
The Provider may use subcontractors or downstream carriers only when lawful, qualified, appropriately licensed and insured, and contractually required to meet obligations consistent with this Agreement. The Provider remains fully responsible for their acts and omissions. The Provider must disclose material subcontracting arrangements when requested and must not present another company's authority, insurance, or services as its own.
Tracking, Communications, and Platform Records
The Provider must enter accurate and timely route and Shipment information. It must not falsify status events, delivery confirmation, payments, reviews, identity, or capacity. Platform messages, timestamps, consent records, tracking events, and transaction records may be used to administer the Services, investigate claims, enforce this Agreement, and comply with law. The Provider must use Customer and Recipient data only for performing Provider Services, complying with law, resolving claims, and other purposes disclosed or authorized by Zebu Go and applicable privacy law.
Prices, Fees, Payments, and Taxes
The Provider controls the lawful base prices it offers unless a separate program states otherwise. Zebu Go may charge registration, subscription, transaction, commission, processing, payout, dispute, refund, or other fees disclosed through the Platform or an applicable order or fee schedule. Current fees, waivers, and promotions may change prospectively upon notice as permitted by law.
Online payments and payouts may be processed by independent payment providers and are subject to their onboarding, verification, reserves, restrictions, and agreements. Zebu Go may deduct disclosed fees, refunds, chargebacks, reversals, penalties attributable to the Provider, and amounts the Provider owes. Payment availability is not guaranteed and may be delayed for risk, compliance, banking, technical, or legal reasons.
Where cash payment is permitted, the Provider is solely responsible for collection, receipts, reconciliation, security, taxes, and lawful handling. The Provider must record payment status accurately. The Provider is responsible for all taxes, duties, levies, permits, and reporting arising from its business, income, personnel, equipment, and Provider Services, except taxes imposed directly on Zebu Go's net income.
Loss, Damage, Delay, and Customer Claims
The Provider bears responsibility for Shipments in its custody or control and for loss, damage, theft, misdelivery, delay, storage, abandonment, customs seizure, penalties, and claims caused by or connected with its Provider Services, personnel, facilities, equipment, subcontractors, representations, or legal noncompliance. The Provider must maintain a fair, documented process for customer claims and must respond within legally required or commercially reasonable periods.
Zebu Go may facilitate communications or display information about a claim without assuming responsibility for the Shipment or becoming the carrier, insurer, guarantor, or claims adjudicator. Nothing in this Agreement eliminates rights or liabilities that cannot legally be waived.
Insurance
The Provider must maintain insurance appropriate to its activities, routes, cargo, custody exposure, personnel, facilities, vehicles, and legal requirements, including cargo, commercial general liability, commercial automobile, workers' compensation, employer liability, errors and omissions, warehouse liability, cyber/privacy, or other coverage where applicable. Coverage must be issued by reputable insurers, remain effective throughout Platform use, and satisfy all regulatory minimums. Upon request, the Provider must provide certificates, policy details, endorsements, and evidence of renewal. Insurance does not limit the Provider's liability.
Provider Representations and Warranties
The Provider represents and warrants that it will comply with this Agreement and applicable law; has all authority necessary to perform and advertise Provider Services; will not infringe third-party rights; will provide accurate information; will not manipulate searches, reviews, tracking, pricing, or payments; and will not use the Platform for deceptive, abusive, discriminatory, unsafe, or unlawful conduct.
Indemnification
To the fullest extent permitted by law, the Provider will defend, indemnify, and hold harmless Zebu Go, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against third-party claims, investigations, proceedings, penalties, fines, losses, damages, judgments, settlements, costs, and reasonable legal fees arising out of or relating to: the Provider Services; any Shipment accepted, rejected, stored, transported, delivered, surrendered, or reported by the Provider; loss, damage, theft, injury, death, delay, misdelivery, customs action, or unlawful goods; the Provider's personnel, facilities, equipment, or subcontractors; breach of this Agreement; violation of law; inaccurate or misleading information; or infringement, privacy, security, tax, employment, or regulatory claims attributable to the Provider.
Zebu Go will provide reasonable notice of an indemnified claim when practicable. The Provider may not settle a claim in a manner that admits fault by, imposes obligations on, or restricts Zebu Go without Zebu Go's written consent. This section does not require indemnification to the extent a final judgment determines that the claim resulted solely from Zebu Go's gross negligence or willful misconduct, where such limitation is required by law.
Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." ZEBU GO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. ZEBU GO DOES NOT WARRANT THAT A PROVIDER, CUSTOMER, RECIPIENT, ROUTE, SHIPMENT, PAYMENT, DESCRIPTION, DOCUMENT, OR REVIEW IS ACCURATE, LAWFUL, SAFE, RELIABLE, AVAILABLE, OR INSURED, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ZEBU GO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; OR LOSS, DAMAGE, DELAY, SEIZURE, MISDELIVERY, OR NONDELIVERY OF A SHIPMENT, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, ZEBU GO'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE PROVIDER'S USE OF THE PLATFORM WILL NOT EXCEED THE PLATFORM FEES PAID OR PAYABLE BY THE PROVIDER TO ZEBU GO DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
Confidentiality and Platform Rights
Each party must protect nonpublic business, technical, security, pricing, and customer information received from the other and use it only for the relationship, except when disclosure is authorized or legally required. Zebu Go and its licensors retain all rights in the Platform, software, designs, trademarks, documentation, analytics, and aggregated or de-identified information. Zebu Go grants the Provider a limited, revocable, nonexclusive, nontransferable right to use the Platform solely for authorized business purposes during the Agreement.
The Provider grants Zebu Go a worldwide, nonexclusive, royalty-free license during the relationship to host, reproduce, format, display, and distribute the Provider's business name, trademarks, service information, routes, prices, and content as necessary to operate and promote the Platform. The Provider represents that it has the rights necessary to grant this license.
Records, Audits, and Cooperation
The Provider must retain operational, identity, consent, customs, payment, claims, licensing, insurance, and Shipment records for the periods required by applicable law and make relevant records available to Zebu Go when reasonably necessary to investigate a complaint, verify compliance, respond to legal process, or protect the Platform. Zebu Go may conduct a proportionate compliance review. Each party remains responsible for its independent legal recordkeeping duties.
Suspension and Termination
The Provider may stop using the Platform subject to unresolved transactions, fees, claims, recordkeeping, and other surviving obligations. Zebu Go may limit, suspend, or terminate access immediately when reasonably necessary for safety, fraud prevention, legal compliance, document expiration, nonpayment, material complaints, breach, suspected prohibited activity, or protection of users or the Platform. When circumstances permit, Zebu Go may provide notice and an opportunity to respond, but is not required to delay urgent protective action.
Termination does not affect accrued payment obligations, claims, consent records, or provisions that by their nature should survive, including marketplace-role provisions, records, confidentiality, intellectual property, disclaimers, liability limits, indemnification, dispute terms, and legal compliance.
Changes to the Agreement
Zebu Go may update this Agreement prospectively. Zebu Go will provide notice appropriate to the significance of the change. If Zebu Go identifies an update as requiring renewed acceptance, the Provider must accept the new version before continuing affected provider functionality. Prior versions and acceptance evidence may be retained. Changes do not retroactively alter accrued rights or obligations unless required by law or expressly agreed.
Notices
Zebu Go may provide notices through the Platform or to the email, telephone number, or business address associated with the Provider account. The Provider must keep contact information current. Legal notices to Zebu Go must be sent to support@zebugo.com with the subject "Legal Notice," unless Zebu Go designates another address. Electronic communications and signatures satisfy writing and signature requirements to the extent permitted by law.
Governing Law and Disputes
This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-laws rules, except where federal law or non-waivable law applies. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Fulton County, Georgia. EACH PARTY WAIVES TRIAL BY JURY TO THE FULLEST EXTENT PERMITTED BY LAW. Before filing a claim, each party will provide written notice and make a good-faith effort for at least thirty days to resolve the dispute informally, except when urgent injunctive relief is reasonably necessary.
General Terms
The Provider may not assign this Agreement or transfer its account without Zebu Go's written consent. Zebu Go may assign the Agreement in connection with an affiliate reorganization, financing, merger, acquisition, or sale of business. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Headings are for convenience. This Agreement, incorporated fee disclosures, the Privacy Policy, and any expressly incorporated written addenda constitute the agreement concerning Provider use of the Platform and supersede prior discussions on that subject. A Provider's separate customer-facing carriage terms do not modify Zebu Go's rights unless Zebu Go signs them.
Electronic Acceptance
By selecting the acceptance checkbox or otherwise electronically accepting this Agreement, the accepting person confirms that the person has read and agrees to the Agreement, is at least 18 years old, and has authority to bind the Provider. Zebu Go may retain the accepted version, acknowledgment wording, timestamp, authenticated user, associated Provider, IP address, user agent, and other evidence reasonably necessary to document acceptance.
